Debt Law Suit

2 questions:
1) I???m trying to determine what exactly an indispensable person is? Example: if 3 owners of a business signed a note and personally guaranteed the note but only one of the guarantors was served would the other individuals be considered indispensable parties to the suit?
2) If the a business sign a note and is insolvent and hasn't resided in the county where the debt was originated for over 12 months, Is that cause for a motion to dismiss because of improper venue?
