I received a call about my capital one account. Stating I was facing legal action if I didn't pay my account by Jan 31,2011. Can they do this. Should I contact Capital one and try to make a deal with them?

You should contact Capital One and try to negotiate with them so that you get time to pay off the dues. You can even convince them to offer you an affordable payment plan so that you can pay off the dues asap. You should do this within January 31st, 2011 or else there are chances that they may take legal actions against you.
